WizBI Terms of Use
Version 1.0 · Effective October 14, 2026
This is a convenience translation; the Hebrew version prevails.
WIZBI AI LTD (וויזבי בינה מלאכותית בע״מ), company number 517297677, 23 Shir HaShirim St., Moshav Berechya, Israel (“WizBI”)
1. Who we are and what these terms cover
1.1. WizBI operates the website wizbi.ai and related websites (the “Website”), and its products, agents, interfaces and conversation channels (the “Service”). The Service is an AI-based “company brain”: at the organization's choice, it connects to the organization's data sources and answers questions on WhatsApp, in a web interface, in Microsoft Teams, in Slack, in Telegram, by email, by voice call, via API and via MCP, depending on the product and the order.
1.2. These terms apply to everyone who browses the Website or uses the Service (“you”). A person acting on behalf of an organization also agrees to the terms on the organization's behalf, and represents that they are authorized to bind it. In that case, “you” also includes the organization.
1.3. Acceptance. Each of the following constitutes acceptance of these terms and of the Privacy Policy: browsing the Website; registering for or signing in to an account; sending a message to an agent; joining a group or conversation in which an agent is active; entering a join code; connecting a data source; installing a local component; and any other use of the Service. If you do not agree, do not use the Website or the Service.
1.4. Definitions. The following terms are used in these terms with the same meaning as in Section 1 of the Service Agreement. In brief:
| Term | Meaning |
|---|---|
| Service Agreement | The WizBI Service Agreement and its schedules, in the version provided to business customers together with the order form |
| Order Form | A signed price quote, a commercial engagement agreement or an online purchase screen, setting out the service, scope, price and term |
| Customer | The organization that ordered the Service, by an order form, by registration or by use |
| User | Any person who uses the Service or converses with an agent, including a customer's employee and a member of a group in which an agent is active |
| Customer Data | Data, files, messages, voice and images that the customer or its users upload, or that WizBI reads from systems the customer connected |
| Input | A question, instruction, file or recording provided to an agent or to the Service |
| Output | An answer, analysis, report, table, chart, file, summary or alert that the Service produces |
| WizBI Materials | Everything WizBI created, developed, configured or acquired, including when done for a customer: code, agents, system prompts, skills, mappings, connectors, local components, templates and documentation |
| Service Data | Information generated by and about the operation of the Service: logs, telemetry, performance metrics, metadata of queries and tool calls, feedback, consumption, security data and schemas of connected sources |
| Aggregate Data | Information, statistics and insights derived from use of the Service that do not identify a customer, a user or a person |
| Agent | An AI-based software component of the Service that receives input, uses tools and produces output or performs an action |
| Free Service | A trial, pilot, demo, demo group, beta version, conversation with an agent before an engagement, and any use for which no consideration was paid |
| Credit | A unit measuring the work of the Service, as measured in WizBI's systems (Section 10.5) |
1.5. A WizBI website or product for which separate terms of use are published is subject to its own terms. These terms apply to it only on matters not governed there.
2. Relationship to the Service Agreement
2.1. Which document applies to you:
| Your situation | What applies |
|---|---|
| A business customer that signed an order form | The Service Agreement and the order form. These terms apply only to browsing the Website and to matters not governed by the Service Agreement |
| A user on behalf of a customer (employee, consultant, group member) | These terms, and the settings and permissions the customer set |
| Use without a signed order form: trial, pilot, demo, demo group, WhatsApp conversation, self-registration | These terms, and in addition the Service Agreement under Section 2.3 |
| A visitor to the Website | These terms |
2.2. A customer with a signed order form. The Service is provided to it under the Service Agreement and the order form. In case of conflict between them and these terms, the Service Agreement and the order form prevail.
2.3. Use without a signed order form. These terms apply. An organization that opened an account, added users, connected a data source or installed a local component is additionally subject to the Service Agreement, as set out in Sections 2.1 and 2.2 thereof, including Schedule D (connectors, data sources and channels). On any matter the Service Agreement governs, it prevails.
2.4. A user on behalf of a customer. The commercial engagement is between WizBI and the customer only. A user whom the customer added is subject to these terms, and obtains no right against WizBI under the agreement with the customer.
2.5. What is not part of the terms. Descriptions, demos, presentations, marketing material, agent answers and FAQs on the Website are for illustration only and are not a commitment. A response by WizBI to a security questionnaire, a vendor questionnaire or a customer requirement is information only. A customer's procurement terms or documents do not bind WizBI. All of the above, unless expressly attached to a signed order form.
3. Who may use the service, accounts and access
3.1. Business use. The Service is intended for businesses and organizations, for business purposes. When registering or ordering you represent that you are acting for business purposes. A person who purchases the Service for personal, household or family use is also subject to the provisions of the Consumer Protection Law, 5741-1981, that cannot be contracted out of, and they prevail in case of conflict.
3.2. Age. The Website and the Service are not intended for anyone under 18. An organization will not allow use by a minor.
3.3. Accurate details. You will provide accurate and complete details, and update them when they change.
3.4. Identity by channel. In some channels the identity is the phone number, the Google or Microsoft account, or the email mailbox. A message from an authorized number or account is deemed a message of the authorized user. You are responsible for every action taken through your accounts, numbers, join codes and access keys, until you have notified WizBI in writing of suspected unauthorized use.
3.5. Means of access. You will not share an account, join code, API key or access token with anyone who is not authorized. A phone number that has passed to another person, or a user who has left, must be updated immediately.
3.6. The customer manages its users. The customer decides who joins, in what role, to which sources, and when they are removed. WizBI acts according to the permissions the customer defined, and is not responsible for a permission that was granted, not revoked or defined too broadly. A person who joins with a join code or by an email domain that the customer enabled is deemed a user the customer approved.
3.7. Groups and shared channels. Anyone who adds an agent to a WhatsApp group, a Slack or Teams channel, or a shared conversation represents that they are authorized to do so, and that the group members know that an AI agent is active in it and that its messages are processed. The organization's information may be shown to all members of the group. The customer is responsible for the group's membership and for the content its members upload.
3.8. WizBI staff access. Authorized personnel on behalf of WizBI may access the account, converse with the agent in the organization's context, view conversations and logs and act on behalf of a user, for the purposes of support, onboarding, quality control, security, investigating a fault or incident, and compliance with law.
3.9. WizBI may refuse a registration, an account or use, at its discretion.
4. Prohibited use
You may not, yourself or through another, and you may not assist another to:
4.1. Copying and commercialization. Copy, reproduce, translate, modify, create a derivative work of, distribute, sell, rent or offer to others the Website, the Service or any part of them, including as a service to third parties (service bureau).
4.2. Reverse engineering and prompt extraction. Reverse engineer, disassemble or decompile, or attempt to discover the code, structure, algorithm, system prompts, skills, tools, schemas or logic of the Service, including by questions to the agent intended to reveal its instructions (prompt extraction), injecting instructions (prompt injection) or breaking its limits (jailbreak), or monitor traffic or analyze a local component. Except to the extent the law expressly permits it despite this prohibition.
4.3. Scraping and automated access. Extract data, outputs or content from the Website or the Service systematically, automatically or at unusual volume, including by scraping, crawling, bots, scripts and headless browsers, beyond normal use and the documented interfaces. Permitted: indexing of the Website's public pages by search engines and AI-based answer engines, in accordance with the Website's robots.txt and llms.txt. Access via API or MCP is permitted only in accordance with the documentation, quotas and rate limits.
4.4. Competing product. Use the Website, the Service, outputs or WizBI Materials to develop, train, fine-tune, evaluate or improve an AI model, product or service that competes with WizBI, or to copy the capabilities, interface or structure of the Service (including distillation). Access the Service as a competitor, on its behalf or for its benefit, or to monitor the Service for competitive purposes, without WizBI's written consent.
4.5. Benchmarks. Publish a benchmark, test or analysis of the Service without WizBI's written approval.
4.6. Circumvention and security. Circumvent, disable or interfere with security, permission, quota, rate-limit, filtering, billing or monitoring mechanisms; open multiple accounts to circumvent a limit or a block; access data, an account or an organization you are not authorized to access; upload malicious code; carry out a denial-of-service attack or deliberate overload; or perform vulnerability scanning, penetration testing, red-teaming or load testing, without WizBI's prior written approval.
4.7. Content and harm. Upload, send or distribute through the Service content that is unlawful, infringing, offensive, threatening, harassing, defamatory or sexually explicit; personal information of another person that you have no permission to disclose; or information collected unlawfully.
4.8. Messages. Send through the Service advertising messages without consent under Section 30A of the Communications (Telecommunications and Broadcasting) Law, 5742-1982, or messages contrary to the WhatsApp Business policy and the policies of messaging providers.
4.9. Prohibited and high-risk AI uses. Use the Service for a use prohibited under Schedule A to the Service Agreement or under the usage policy of the relevant model provider, including: impersonating a person or a deepfake without consent and labeling; fraud, deception or spreading false information; emotion recognition or biometric categorization of people; or making a decision with a legal or material effect on a person (in employment, credit, insurance, housing, education, health and more) automatically, without review and approval by an authorized person.
4.10. Reporting vulnerabilities. Found a vulnerability in the Website or the Service? Report it to legal@wizbi.ai, do not exploit it and do not publish it before it is fixed.
4.11. Enforcement. WizBI may monitor use, automatically and by authorized personnel, to enforce this section. Upon a breach or a reasonable suspicion of a breach, WizBI may, in addition to any other remedy: remove content; block IP addresses, accounts, numbers or keys; suspend or terminate access; and take legal proceedings, including for an injunction. Upon a breach of Sections 4.2 to 4.4, WizBI is also entitled to compensation for its damages, or alternatively to the profits derived from the breach.
5. Artificial intelligence and outputs
5.1. You are conversing with an AI system. The agent is software, not a person, even when this is not stated in every message.
5.2. A decision-support tool. The Service is an aid to decision-making. It is not professional advice of any kind, including business, accounting, tax, legal, investment, financial, insurance, medical, veterinary, engineering, safety or occupational advice, and is not a substitute for the judgment of a qualified professional.
5.3. Models make mistakes. Output is generated automatically, usually without human review, and may be wrong, partial, out of date, biased or fabricated, particularly in numbers, amounts, dates, calculations, names and sources. The same question may receive different answers at different times.
5.4. Output is as good as the data. The Service relies on the Customer Data and on the source systems. Missing, wrong, duplicated or late data will lead to wrong output. WizBI does not verify the accuracy of the Customer Data.
5.5. You check. You are responsible for checking every output and verifying it against the source before relying on it, and in any event before: a payment, commitment or transaction; an accounting entry or a report to an authority, the tax authority, a bank or a board of directors; a decision about an employee, candidate, customer or supplier; and a health or safety decision.
5.6. Passing on the duty. When you pass an output to another, you will inform them that the output was produced by AI and must not be relied on without checking.
5.7. Agent actions. An action that an agent performs according to your configuration, activation, approval, schedule or permission (including alerts, scheduled reports, sending messages, creating files and recording in an external system) is your action, and you are responsible for its results.
5.8. Malicious instructions in data. A document, email, message or page that the agent reads may contain instructions that try to manipulate it (prompt injection). WizBI takes reasonable measures to reduce the risk, but cannot prevent it completely. Limit the permissions and the sources the agent is exposed to accordingly.
5.9. Models. The Service uses models of third-party providers. WizBI may choose, replace and upgrade models and model providers at any time, and may set limits on rounds, calls, time and scope of actions and stop an action that exceeds them.
5.10. Rights in outputs. Subject to compliance with the terms and to full payment, where required, the rights in an output produced from the Customer Data belong to the customer, to the extent WizBI has such rights, except for WizBI Materials incorporated in it, in which an internal-use license is granted with respect to that output only. An output may be similar to another's output, may not be protected by copyright, and WizBI does not warrant that it is unique or non-infringing. Demo data, and outputs produced from it in a demo or a demo group, belong to WizBI.
6. Your data and connecting data sources
6.1. Customer Data belongs to the customer. WizBI acquires no ownership of it. You grant WizBI and its sub-processors a worldwide, non-exclusive license, without additional consideration, to store, copy, process, analyze, display and transfer the Customer Data, to the extent required to: (a) provide and support the Service; (b) secure it and prevent misuse; (c) improve and tune the Service for you; (d) comply with law and protect WizBI's rights; (e) create Service Data and Aggregate Data.
6.2. Rights in the data. You represent that you have every right, license, consent and notice required to provide the data to the Service, connect your sources and allow its processing by WizBI and its sub-processors, including outside Israel and by means of artificial intelligence, and that doing so does not breach any law, agreement, confidentiality, software vendor license or third-party right. You will not upload data of special sensitivity (medical, genetic, biometric, criminal, a person's financial situation, credit card numbers or passwords), unless agreed in advance in a signed order form.
6.3. Connecting a data source is your sole responsibility. Every connection of the Service to a data source (an ERP system, industry software, a database, files, a cloud account, a third-party API, or a local component) is made on your initiative, on your instruction and in your name. WizBI acts as a tool and on your behalf only. You alone are responsible for ensuring that the connection, access, retrieval, copying, storage and processing of the data are permitted under every law, license, terms of use (EULA), agreement with the software vendor or its operator, and agreement with whoever the data belongs to, and for obtaining every required approval before connecting. If a license or a vendor restricts this, or has objected to it, you will notify WizBI in writing before connecting.
6.4. WizBI does not check. WizBI does not check, and is not obliged to check, your rights in the data, your agreements with software vendors or the lawfulness of the connection, and may rely on your representations. A recommendation, demo or technical help by WizBI with a connection is not a legal opinion and not an assurance that the connection is permitted.
6.5. Read by default. The Service is designed to read data from connected sources, and the default is read-only permission. You will provide dedicated, minimal connection permissions, not an employee's personal permissions or administrator permissions. Broader permission, including writing, modifying or sending to parties outside the organization, will be granted only at your choice, within the scope you defined and at your responsibility. You are responsible for backing up your systems. The Service is not a backup service.
6.6. Local component. A component installed on your computer or server, at your request, is part of the WizBI Materials and is licensed in object code only. You will not copy, analyze or transfer it. WizBI does not warrant that the component will not affect the performance of the computer or software, and may at any time disable it or require its removal.
6.7. Disconnection. Upon receiving a claim, letter or demand from a software vendor, a data owner or an authority, or when WizBI has a reasonable concern that a connection is not permitted, WizBI may, at its discretion and without liability to you: disconnect the connection; disable a local component; stop synchronization; restrict access to data already collected; require written approval from the software vendor; and retain data and logs to preserve evidence. Such disconnection does not entitle you to a refund and does not release you from payment. You will notify WizBI within 2 business days of any such claim that reaches you.
6.8. Demos. In a demo or a demo group, do not upload real data, personal information or confidential information. Content you upload may be visible to other participants. Demo data is for illustration and does not necessarily represent a real business or real data.
6.9. For a customer to whom the Service Agreement applies, Schedule D to the Service Agreement sets out the terms of connection, and prevails on the matters it governs.
7. Usage data, privacy and security
7.1. Service Data belongs to WizBI. WizBI may collect, retain and use Service Data, during use and afterwards, for any legitimate business purpose, including operation, security, billing, support, research, development and improvement of the Service and of the WizBI Materials, quality control and planning. WizBI will not disclose to a third party Service Data that identifies a customer, except to sub-processors, as required by law, or in a transfer of business.
7.2. Aggregate Data belongs to WizBI. WizBI may create Aggregate Data, use it, publish it and commercialize it, without time limit, as long as it does not identify a customer, a user or a person and does not disclose a customer's confidential information.
7.3. Improving the Service. WizBI may use learning from use of the Service, including question patterns, corrections and feedback, to improve the WizBI Materials for all customers, provided that the improved WizBI Materials do not contain and do not disclose Customer Data.
7.4. Privacy. Personal information that WizBI collects as a controller is handled under the Privacy Policy (legal.wizbi.ai/privacy). With respect to personal information within the Customer Data, the customer is the controller and WizBI is the holder, under the Service Agreement and the data processing agreement, if signed. The list of sub-processors is published at legal.wizbi.ai/subprocessors. Data is also processed outside Israel and by means of model providers, as detailed in the Privacy Policy.
7.5. Monitoring. For security, prevention of fraud and misuse and enforcement of the terms, WizBI monitors use and keeps logs, including IP addresses, device identifiers, access patterns and bot detection, as well as inputs and outputs. WizBI may provide findings to authorities or legal parties when required to enforce the terms or by law.
7.6. Security. WizBI operates reasonable security measures, and an information security management system certified to ISO/IEC 27001:2022 (certificate 070926059721), within the scope of the certificate. No security is perfect, and WizBI does not warrant that no incident will occur.
7.7. Retention and deletion. Retention periods are set out in the Privacy Policy. In a Free Service WizBI is not obliged to retain data, and may delete it or reset the environment at any time. Keep a copy of what matters to you. Export and deletion at the end of the engagement of a customer with a Service Agreement: under Section 16 of the Service Agreement.
8. Intellectual property and feedback
8.1. WizBI's ownership. The Website, the Service and the WizBI Materials, including design, code, texts, images, videos, marks and every improvement, derivative or adaptation of them, are owned by WizBI or its licensors, even if developed for you, at your request, on the basis of knowledge you provided or with your funding, unless expressly provided otherwise in a signed order form.
8.2. Trade secrets. The system prompts, the structure of the agents, the skills, the schema mappings and the logic of the Service are WizBI's trade secrets.
8.3. License to use. WizBI grants you a personal, limited, non-exclusive, non-transferable and revocable license to browse the Website and use the Service in accordance with these terms and for your internal business purposes. Every right not expressly granted is reserved to WizBI. There is no implied license.
8.4. Marks. WizBI and every name, logo and mark of WizBI and its products are marks of WizBI. Outputs and pages the Service produces may carry the wording “Powered by WizBI”, and you will not remove it without approval. Names and logos of third parties on the Website belong to their owners, and their display does not indicate a partnership or an endorsement.
8.5. Feedback. Feedback, a suggestion, a fault report, an answer rating or an idea that you provide to WizBI vest in it in full ownership, without consideration, without any duty of attribution and without any duty of confidentiality, and you waive moral rights in them. WizBI is not obliged to use them.
9. Channels and third-party services
9.1. Dependence on providers. The Service runs on third-party providers that are not under WizBI's control: cloud and model providers, messaging providers (Meta/WhatsApp, Microsoft, Slack, Telegram), sign-in providers (Google, Microsoft), ERP systems and data sources, and payment providers. WizBI is not responsible for a fault, delay, change, block or discontinuation on their side, or for a change in their terms, policies or prices.
9.2. Provider terms. Use of each channel is also subject to the terms and policies of the channel provider, including the WhatsApp Business terms and Meta's policies. You will comply with them. The providers' terms are not WizBI's responsibility.
9.3. WhatsApp. Depending on the product, the WhatsApp channel operates through the official WhatsApp Business API, or through a dedicated number connected as a linked device, which is not the official Business API. Meta may block, restrict or disconnect a number or group at any time, and the availability of the channel is not under WizBI's control.
9.4. Numbers. A phone number, bot account or channel that WizBI allocated to the Service belongs to WizBI, unless provided otherwise. WizBI is not obliged to transfer them at the end.
9.5. Messages. Contacting an agent or providing a phone number constitutes consent to receive the messages required for the Service: answers, operational updates, and alerts and reports that you or your organization configured. Marketing messages will be sent only with consent, where the law requires consent. You can stop receiving messages at any time: “הסר” or “STOP” in the conversation, or by contacting us. Proactive messages that a customer configured are the customer's action, and it is responsible for the recipients' consent.
9.6. Voice calls. A voice call with an agent may be recorded and transcribed for the Service. Continuing the call constitutes consent. You will not use the Service to record a conversation between people without their knowledge and without a legal basis.
9.7. Links. The Website and the Service may link to third-party websites and services. WizBI is not responsible for their content, availability or terms.
10. Trials, demos, prices and credits
10.1. Free Service. A Free Service is provided “as is”, and may be limited in time, users, credits, sources or capabilities. WizBI may change it, discontinue it, reset it or delete its content at any time, without prior notice and without liability. There is no support obligation for a Free Service.
10.2. Beta. A capability marked as beta, preview or experimental may be unstable, change or disappear.
10.3. Pilot and trial. A pilot or trial period set in a price quote or an order form ends and continues as provided there and in Section 15.9 of the Service Agreement. A demo, demo group or conversation with an agent that is not within such a framework does not by itself become a paid subscription.
10.4. Prices. The price is the one in the price quote or the order form. In their absence: according to WizBI's price list at the time of the order. Prices and package descriptions on the Website are general information and may change. Prices do not include VAT, which will be added as required by law. The currency and the exchange rate are according to the price quote.
10.5. Credits. A credit is a unit measuring the work of the Service, as measured in WizBI's systems. The number of credits per action varies by its type and complexity. WizBI's measurement is binding, absent manifest error. Use beyond the quota is charged according to the price quote, and in its absence according to the price list. An unused credit does not accumulate, does not carry over to the next period and is not refunded.
10.6. Payment and refunds. Credit card payment is made through a payment processor, and the card details are provided directly to it. An amount paid is not refunded, unless the Service Agreement or the order form expressly provides otherwise or the law requires it. Nothing in the foregoing derogates from a right of cancellation that cannot be contracted out of under the Consumer Protection Law.
10.7. Late payment. An amount not paid on time bears interest and linkage as provided by law, and WizBI may suspend the Service until it is settled, as set out in Section 6.7 of the Service Agreement.
11. Suspension and termination
11.1. You. You may stop using the Website and the Service at any time, and request deletion of an account under the Privacy Policy. A customer with an order form terminates the engagement under the Service Agreement. Stopping use does not release you from payment that has accrued or that you committed to.
11.2. Suspension. WizBI may suspend, restrict or throttle the Service, in whole or with respect to a user, channel, number, integration or key, to the extent and for the time reasonably required, if: (a) there is a reasonable concern of a security risk, misuse, unauthorized access or harm to the Service, other users, WizBI or a third party; (b) there is a reasonable suspicion of a breach of Sections 4, 6 or 8; (c) the law, an order, an authority or a third-party provider requires it, or a third-party provider suspended, blocked or restricted WizBI; (d) there is a payment arrear; (e) the volume of use is unreasonably unusual relative to the package. WizBI will give advance notice where possible, and otherwise as soon as possible. WizBI is not liable for damage caused by a suspension under this section.
11.3. Termination. WizBI may terminate your access immediately upon a breach of Sections 4, 6.3 or 8, or upon use of the Service to harm a third party. WizBI may terminate a Free Service at any time.
11.4. Product discontinuation. WizBI may discontinue a product, capability or integration. For a paying customer: with 30 days' notice, with a pro-rata refund of consideration paid in advance for the unused period, or a move to an alternative service, as provided in Section 15.7 of the Service Agreement.
11.5. Sections that survive termination: 4 to 8, 10.5 to 10.7, 12 to 15, and every section that by its nature is intended to survive termination.
12. Disclaimer and limitation of liability
12.1. As is. To the maximum extent permitted by law, the Website, the Service, the outputs, the Free Service and any third-party content are provided “as is” and “as available”. WizBI does not warrant, expressly or impliedly, that they will be accurate, complete, up to date, uninterrupted, free of errors or vulnerabilities, fit for a particular purpose, or that they will achieve any business, financial or regulatory result.
12.2. No SLA. There is no availability commitment, unless a dedicated service schedule was signed in an order form. The response targets at legal.wizbi.ai/support are best-effort targets, and failure to meet them does not entitle you to a credit, compensation or a right of termination.
12.3. What WizBI is not responsible for. (a) A fault, change, block or discontinuation at a third-party provider; (b) missing, wrong, late or unsynchronized data in the source systems; (c) your systems, networks, devices and permissions; (d) use not in accordance with the terms or the documentation; (e) a decision made on the basis of an output, and its consequences; (f) content that a user or group member uploaded.
12.4. No indirect damage. WizBI will not be liable for indirect, consequential, special, incidental or punitive damage, or for loss of profit, revenue, savings, goodwill, data, business opportunity or business interruption, on any cause of action, even if advised in advance of their possibility.
12.5. Cap. WizBI's total and aggregate liability to you, on any cause of action (contract, tort, unjust enrichment, negligence or otherwise) and for all events together, will not exceed:
| Type of use | The cap |
|---|---|
| Paid service | The amount you actually paid WizBI for the affected service in the 12 months preceding the first event giving rise to the cause of action |
| Free Service, and browsing the Website | ILS 500 |
12.6. Exceptions. The exclusions and the cap do not apply to damage caused willfully or by gross negligence, to bodily injury, or to liability that cannot be limited under law, including under the Consumer Protection Law.
12.7. WizBI's employees, officers and suppliers are not personally liable to you. The limitations of liability reflect the agreed allocation of risk and the price, and without them WizBI would not provide the Service, or would provide it at a different price.
13. Indemnity
13.1. You will indemnify and defend WizBI, its officers, employees and suppliers against any claim, demand, proceeding, sanction, fine, damage and expense (including reasonable attorneys' fees) arising from any of the following:
(a) a breach of these terms or of law by you or by your users;
(b) the Customer Data, input or content you uploaded, including a claim that it infringes a third party's right or was collected unlawfully;
(c) a data source you connected or instructed to be connected, or a local component installed at your request, including a claim by a software vendor, system operator, data owner or authority that the connection, access, retrieval or use of the data infringes a license, terms of use, copyright, trade secret, a right in a database, the Computers Law, 5755-1995, or any law, including a criminal or administrative proceeding and the costs of representation in it;
(d) messages sent in your name or according to your settings, including under Section 30A of the Communications Law;
(e) agent actions that you configured, activated or approved;
(f) a claim by a user, employee, group member or end customer of yours, including regarding the processing of their messages or information about them;
(g) the absence of a legal basis, consent, license or notice for which you were responsible.
13.2. The indemnity is not subject to the cap in Section 12.5, and does not apply to the extent the claim arises from WizBI's breach of the terms.
13.3. WizBI will notify you of the claim. WizBI may choose its own representation at your expense where there is a conflict of interest, where the claim is also directed against it, or where it may harm its reputation or the WizBI Materials. You will not settle on WizBI's behalf, or make admissions on its behalf, without its written consent.
14. Changes to the terms and the service
14.1. Changes to the Service. WizBI develops the Service continuously: it adds and removes capabilities, replaces models and providers, and changes interfaces, channels, limits and infrastructure. These changes do not require consent. Replacing a model or a model provider is not a material change. For a paying customer, a material reduction of a core capability that was ordered is governed by Section 17.2 of the Service Agreement.
14.2. Changes to the terms. WizBI may update these terms. Every version is published at legal.wizbi.ai/terms, with a version number and date. A material change will be published on the Website, and sent by email or in the service channel to customers and users whose contact details are known to WizBI, 30 days before it takes effect. A change required by law, relating to a new capability, or that does not adversely affect you, applies immediately.
14.3. If you do not agree. Stop using the Service before the change takes effect. A paying customer may terminate by written notice before the change takes effect, and receive a pro-rata refund of consideration paid in advance for the unused period. This is the sole remedy. Continued use after the change takes effect constitutes acceptance. A commercial term expressly set in a signed order form does not change without the customer's consent until the end of its term.
14.4. Previous versions. Every previous version of these terms is kept in an archive, at a permanent address with the version number (for example legal.wizbi.ai/terms/v1.0), and is provided on request. An event is governed by the version in effect at the time of the event.
15. Law, jurisdiction, general and contact
15.1. Law. These terms, the Website and the Service are governed solely by the laws of the State of Israel, without their conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
15.2. Jurisdiction. Exclusive jurisdiction is vested in the competent courts in the Tel Aviv-Jaffa district. WizBI may in addition seek interim relief, an injunction or debt collection in any competent forum, in Israel or abroad. Anyone whose place of business is outside Israel agrees to this law and jurisdiction.
15.3. Entire agreement. These terms, the Privacy Policy, and where they apply also the Service Agreement and the order form, are the entire agreement on their subject matter, and supersede any prior representation, proposal, presentation or correspondence.
15.4. Assignment. You may not transfer your rights or obligations under the terms without WizBI's written consent. WizBI may transfer them to an affiliated company, to an acquirer of its business or of the Service, or as part of a merger or reorganization.
15.5. Evidence. WizBI's computer records, logs and measurement will serve as prima facie evidence of their content, including as to consent, use, consumption and messages.
15.6. Miscellaneous. A provision held invalid will be narrowed to the minimum extent required, and the remaining terms will continue to apply. A waiver, extension or refraining from action is not a waiver of a right. Headings are for convenience only. The masculine or plural form includes all genders. The Hebrew text is binding, and a translation is for convenience only.
15.7. Notices. WizBI may give notices by email, in the service channel, in the Service interface or on the Website. Notices to WizBI: in writing, to legal@wizbi.ai.
